A leading US law firm is looking for a Commercial Lawyer (client terms) to join their in-house Risk & Compliance team in London.

The Commercial Lawyer (client terms) will focus on the review, negotiation and management of client engagement terms.

The role would suit a commercially minded lawyer with strong contract negotiation experience gained in a law firm environment.

Key Responsibilities for the Commercial Lawyer (client terms) role:

Reviewing and negotiating:

• Client engagement letters
• Outside counsel guidelines (OCGs)
• Framework agreements and panel terms
• NDAs and related commercial documentation

Advising on contractual risk issues including:

• Limitation of liability and indemnities
• Confidentiality and information security
• Data protection provisions
• Conflicts, ethics and regulatory clauses

• Insurance-related provisions
• Identifying and escalating non-standard or high-risk clauses to senior OGC colleagues where required.
• Supporting partner training on engagement terms and contractual risk management.
• Contributing to global alignment with US and other international offices.

Skills & Qualifications:

• Qualified lawyer (England & Wales or common law jurisdiction preferred).
• Strong commercial contracts experience.
• Experience negotiating client terms within a law firm environment highly desirable.
• Strong drafting and negotiation skills.
