A leading US law firm is looking for a Commercial Lawyer (client terms) to join their in-house Risk & Compliance team in London.
The Commercial Lawyer (client terms) will focus on the review, negotiation and management of client engagement terms.
The role would suit a commercially minded lawyer with strong contract negotiation experience gained in a law firm environment.
Key Responsibilities for the Commercial Lawyer (client terms) role:
Reviewing and negotiating:
- Client engagement letters
- Outside counsel guidelines (OCGs)
- Framework agreements and panel terms
- NDAs and related commercial documentation
Advising on contractual risk issues including:
- Limitation of liability and indemnities
- Confidentiality and information security
- Data protection provisions
- Conflicts, ethics and regulatory clauses
- Insurance-related provisions
- Identifying and escalating non-standard or high-risk clauses to senior OGC colleagues where required.
- Supporting partner training on engagement terms and contractual risk management.
- Contributing to global alignment with US and other international offices.
Skills & Qualifications:
- Qualified lawyer (England & Wales or common law jurisdiction preferred).
- Strong commercial contracts experience.
- Experience negotiating client terms within a law firm environment highly desirable.
- Strong drafting and negotiation skills.
